The incorporation process — step by step

Stage one is name reservation under RUN or SPICe+ Part-A. We check name availability against the MCA database, active trademarks and existing companies, and reserve the name for 20 days. Stage two is drafting of the Memorandum and Articles of Association tailored to the founders' shareholders agreement, business scope and share-capital plan. Stage three is filing of SPICe+ Part-B with attachments (INC-9 declarations, INC-33/34 MOA/AOA, INC-35 AGILE for GST/EPFO/ESIC integration) along with DSC of subscribers and directors. Stage four is MCA processing, which typically completes in 3–7 working days. Stage five is post-incorporation setup — PAN, TAN, current account opening, GST registration, MSME registration and preparation of statutory registers.

Post-incorporation compliance

A Private Limited company must file INC-20A (commencement of business) within 180 days of incorporation, appoint an auditor within 30 days, hold its first board meeting within 30 days, and adhere to the Companies Act 2013 compliance calendar throughout the year — including MGT-7 annual return, AOC-4 financial-statement filing, DIR-3 KYC of directors, DPT-3 for deposits, MSME-1 for MSME creditors, and BEN-2 for significant beneficial ownership.
